(“Assignor”), and Avex Entertainment Inc. (“Licensee” and “Assignee”), and amends that certain SVOD License Agreement between Licensor and Assignor dated as of November 7, 2011 (the “Agreement”). Unless otherwise noted, all capitalized terms used in this First Amendment shall have the meaning given to them in the Agreement.
