The accompanying purchase order (“PO”) and these terms collectively constitute the agreement between the parties ("Agreement''). The Agreement becomes binding when MGM Transformer Company (“Seller”) provides a written acknowledgment of Buyer’s PO. Seller’s acceptance of any Buyer PO is expressly conditioned on Buyer’s acceptance of the terms and conditions stated herein, and any additional or different terms proposed by Buyer are expressly rejected and shall not become part of the Agreement unless expressly agreed to in writing by Seller. The parties acknowledge that all stenographic or typographic errors in a PO or any other document associated with this Agreement are subject to correction to reflect the intent of the parties.
