Force Majeure. Neither party shall be responsible for any delay or failure in performance to the extent that such delay or failure in performance is due to fire, explosion, strike, labor dispute, riot, act of God, pandemic (including, but not limited to, the novel coronavirus known as COVID-19), epidemic, weather, shortage of labor or materials (including, without limitation, inability to secure materials or transportation facilities), war, terrorist act or activities, governmental laws, orders, regulations, or restrictions (including but not limited to any “stay at home” orders or government mandated closures), civil or military authority, act or omission of carriers or suppliers, interruption in power, communications, satellites or the Internet or any other causes of any kind whatsoever which are beyond the control of such party.
