This Consulting Agreement (“Agreement”) dated as of this 12th day of August, 2005 (the “Effective Date”) is entered into by and among Duke Power, a division of Duke Energy Corporation; ElectriCities of North Carolina, Inc.; North Carolina Electric Membership Corporation; Progress Energy Carolinas, Inc. (collectively, the “Participants”); and Gestalt, LLC (the “Consultant”). The Participants and the Consultant are sometimes hereinafter referred to individually as a “Party” and collectively as the “Parties.” Capitalized terms that are not otherwise defined in this Agreement shall have the meanings set forth in the participation agreement dated as of May 20, 2005 by the Participants (the “Participation Agreement”).
