Master Subscription Agreement (MSA)for Strongpoint’s Software as a Service (SaaS) Solutions THIS AGREEMENT (“MSA” or “Agreement”) CONSTITUTES A BINDING CONTRACT ON CUSTOMER AND GOVERNS THE USE OF AND ACCESS TO THE SERVICES BY CUSTOMER, AUTHORIZED USERS AND END USERS’ SUBSCRIPTION TO THE SERVICES. This MSA applies to all sales of STRONGPOINT Software as a Service (SAAS) solutions, both in the form of sales by STRONGPOINT to its Authorized Value-Added Reseller (“VAR”), for resale to End Client (“Indirect Sale”) and for STRONGPOINT’s own sales directly to the CUSTOMER (“Direct Sale”). In case of an Indirect Sale, this MSA applies between STRONGPOINT and VAR, and VAR shall on the terms set out herein, procure that the MSA is incorporated into its contract with its End Client. STRONGPOINT is not party to VAR’s contract with VAR’s End Client, and nothing herein shall be construed to create any direct contractual relationship between STRONGPOINT and VAR’s End Client in an Indirect Sale.
