The terms and conditions of sale contained herein ("this Agreement") shall apply to all quotations and offers made and purchase orders accepted by OFS Fitel Deutschland GmbH ("Seller"). These terms and conditions shall apply exclusively even if Seller (i) accepts orders without reservations (ii) performs deliveries or renders any services in the knowledge of Buyer's terms and conditions or (iii) makes direct or indirect reference to any correspondence, etc. which contain Buyer's terms and conditions or those of any third party. Any conflicting, diverging, or supplemental terms and conditions of Buyer shall apply only if Seller consents in writing. Seller's failure to object to provisions contained in any communication from Buyer shall not be deemed a waiver of the provisions herein.
