This Affiliate Services Agreement (this “Agreement”) is entered into as of the 1st day of August, 2012 , 2014, by and between Liberty Utilities (Canada)Service Corp. (“LUC”),., a Canadian CorporationDelaware corporation (the “Provider Company”), which company is engaged, in part, in the rendering of services to companies in the Algonquin Power & Utilities Corp. (“APUC”) holding company system, and Liberty EnergyUtilities (Midstates Natural Gas) Corp. (the “Receiving Company”), (all parties to this Agreement otherwise collectively referred to as the “parties” or individually referred to as a “party”).
