WHEREAS, in connection with an arrangement agreement dated the date hereof (as may be amended, modified or supplemented from time to time in accordance with its terms, the “Arrangement Agreement”) between ARC Energy Fund 8 Canadian Limited Partnership, ARC Energy Fund 8 United States Limited Partnership, ARC Energy Fund 8 International Limited Partnership, ARC Capital 8 Limited Partnership (collectively, "ARC Energy Fund 8"), 2659160 Alberta Ltd. (the "Purchaser", and together with ARC Energy Fund 8, the "Purchaser Parties") and STEP, ARC Energy Fund 8 will indirectly acquire through the Purchaser all of the issued and outstanding common shares in the capital of STEP (the “STEP Shares”), subject to the terms and conditions set forth in the Arrangement Agreement;
