AGREEMENT (this “Amendment”) dated as of July 13, 2018 (the “Effective Date”), is among REX ENERGY CORPORATION, a corporation formed under the laws of the State of Delaware and a debtor and debtor-in- possession in the Chapter 11 Cases (as defined in the Credit Agreement referred to below) (the “Borrower”), ANGELO, GORDON ENERGY SERVICER, LLC, a Delaware limited liability company, as administrative agent and collateral agent under the Credit Agreement (in such capacities, the “Administrative Agent”), and the lenders party to the Credit Agreement (the “Lenders”).
