This ASSIGNMENT, PURCHASE AND SALE AGREEMENT, dated as of December , 2017 (this “Sale Agreement”), among the City of Chicago (the “City”), the SALES TAX SECURITIZATION CORPORATION, an Illinois not for profit corporation and instrumentality of the City (the “Corporation”) and The Bank of New York Mellon Trust Company, N.A., a national banking association, as Trustee under the Indenture (as defined herein) (the “Trustee”), but actually executed and delivered on the date set forth below;
