MATERIAL TRANSFER AGREEMENT* COMMENTS *A Material transfer agreement (MTA) is a contract that governs the transfer of tangible materials between two organizations, when the recipient intends to use the materials for his or her own purposes. The MTA defines the rights of the provider and the recipient with respect to the materials and any derivatives. MTAs may be used for the transfer of materials such as pharmaceuticals, biological materials, non-pharmaceutical compounds, and even software. This particular agreement is drafted for the use of a Company receiving Institute Material from an academic research institution or university. It slightly favors the Company, requiring both an unrestricted free non-exclusive commercial license for Institute Inventions with an exclusive option to convert to an exclusive license, as well as a publication review burden that will primarily affect the Institute.
