We have acted as counsel to America Online, Inc., a Delaware corporation (the "Company"), in connection with the Registration Statement on Form S-4, File Number 333-30208 (the "Registration Statement"), filed by the Company with the Securities and Exchange Commission under the Securities Act of 1933, as amended (the "Act"), relating to the proposed issuance by the Company of up to 12,948,940 shares of common stock, par value $0.01 per share (the "America Online Common Stock"), upon consummation of the Agreement and Plan of Merger, dated as of December 21, 1999, as amended (the "'Merger Agreement"), among the Company, MQ Acquisition, Inc., a Delaware corporation and a wholly owned subsidiary of the Company ("Merger Sub"), and MapQuest.com, Inc., a Delaware corporation ("MapQuest").
