This INTERCREDITOR AGREEMENT (this "Agreement") is dated as of June 18, 2012 and entered into by and between WELLS FARGO CAPITAL FINANCE, LLC, a Delaware limited liability company, in its capacity as agent under the ABL Documents, including its successors and assigns in such capacity from time to time ("ABL Agent"), and WELLS FARGO BANK, NATIONAL ASSOCIATION, in its capacity as agent under the Term Loan Documents, including its successors and assigns in such capacity from time to time ("Term Loan Agent").
