This AMENDMENT #1 (“Amendment #1”) is entered into as of September [ ], 2010, by and between Sony Pictures Television Inc. (“Licensor”), and DISH Network L.L.C. (“Licensee”), and amends the Video-On-Demand and Pay-Per-View License Agreement, dated as of June 4, 2008, between Licensor and Licensee (“Original Agreement”).
