The Offering Materials shall not include any document or information that: (i) was publicly known and made generally available in the public domain prior to the time of disclosure to Potential Investor; (ii) becomes publicly known and made generally available in the public domain after disclosure to Potential Investor through no breach of this Agreement by Potential Investor or any Related Party; (iii) is already in the possession of Potential Investor without restriction on use or disclosure at the time of disclosure to Potential Investor; (iv) becomes available to Potential Investor without restriction on use or disclosure from a third party provided Potential Investor has no actual knowledge such third party is breaching such third party’s obligations of confidentiality in disclosing such information to Potential Investor; or (v) is independently developed by Potential Investor without use of or reference to the Offering Materials.
