(together with its permitted successors, transferees and assigns in such capacity, “Contracting Party”), BA Leasing BSC, LLC, a Delaware limited liability company (together with its permitted designee(s), successors, transferees and assigns in such capacity, “Lessor” and “Secured Party”), and Simon Solar Farm LLC, a Delaware limited liability company, which was merged or otherwise converted from a Georgia limited liability company into a Delaware limited liability company of the same name as further described below (together with its permitted successors, transferees and assigns in such capacity, “Lessee”). Unless otherwise defined herein, each capitalized term used in this Consent without definition shall have the meaning set forth in the Long Term PPA as described below.
