THIS AGREEMENT is by and between BellSouth Telecommunications, Inc., (“BellSouth” or “Company”), a Georgia corporation, and DPI-Teleconnect, Inc. (“DPI ”), a Texas corporation, and shall be deemed effective as of November 5, 1998.
