This ASSET TRANSFER AND LICENSE AGREEMENT (the “Agreement”) is effective as of January 3, 2014 (the “Effective Date”) by and between Durect Corporation, a Delaware company having offices located at 10260 Bubb Road, Cupertino, CA 95014 (“Durect”) and Impax Laboratories, Inc., a Delaware company having offices at 30831 Huntwood Avenue, Hayward, CA 94544 (“Impax”).
