This SEVENTEENTH SUPPLEMENTAL INDENTURE, dated as of May 17, 2006 (this “Seventeenth Supplemental Indenture”), among ALLIED WASTE NORTH AMERICA, INC., a corporation duly organized and existing under the laws of the State of Delaware (the “Company”), having its principal office at 15880 North Greenway-Hayden Loop, Suite 100, Scottsdale, Arizona 85260, ALLIED WASTE INDUSTRIES INC., a corporation duly organized and existing under the laws of the State of Delaware (“Allied” or the “Parent Guarantor”), each of the other GUARANTORS signatory hereto (collectively with the Parent Guarantor, the “Guarantors”) and U.S. BANK NATIONAL ASSOCIATION, a national banking association, as Trustee (the “Trustee”).

beneficial interest is being acquired for the Owner’s own account without transfer, (ii) such Exchange has been effected in compliance with the transfer restrictions applicable to Restricted Definitive Notes and pursuant to and in accordance with the Securities Act, (iii) the restrictions on transfer contained in the Indenture and the Private Placement Legend are not required in order to maintain compliance with the Securities Act and (iv) the beneficial interest is being acquired in compliance with any applicable blue sky securities laws of any state of the United States.
