This Purchase and Sale Agreement (the “Agreement”) is dated as of March 18, 2013, by and among Memorial Resource Development LLC, a Delaware limited liability company (“MRD”), Tanos Energy, LLC, a Delaware limited liability company (“Tanos”), WildHorse Resources, LLC, a Delaware limited liability company (“WildHorse” and, together with Tanos, the “Sellers”), and Memorial Production Operating LLC, a Delaware limited liability company (“Buyer”). MRD and the Sellers are sometimes collectively referred to herein as the “Seller Parties,” and the Seller Parties and Buyer are sometimes collectively referred to herein as “Parties” and individually referred to as a “Party.”
