(to be renamed ING Partners, Inc. effective May 1, 2002) (the "Fund") listed on Schedule A attached to this Agreement. The Fund offers Shares in accordance with the terms and conditions contained in the Prospectuses (and Statements of Additional Information ("SAIs") incorporated by reference thereto) relating to those Shares.
