This Agreement, including Amendment No. 1 (TRO Amendment) hereto (“Agreement”) shall be deemed effective as of May 6, 2005 (the “Effective Date”), between NationsLine North, Inc. (“NL”), a corporation organized under the laws of the Commonwealth of Virginia, with offices at 3435 Chip Drive, Roanoke, VA 24012 and Verizon Pennsylvania Inc. (“Verizon”), a corporation organized under the laws of the Commonwealth of Pennsylvania with offices at 1717 Arch Street, Philadelphia, PA 19103 (Verizon and NL may be referred to hereinafter, each, individually as a “Party”, and, collectively, as the “Parties”).
