This Settlement Agreement (“Agreement”) is made and entered into, subject to final approval by the United States District Court, Western District of Tennessee, Western Division (the “Court”), by and between (1) Todd Halford (“Halford”) on behalf of himself and all others similarly situated, on the one hand, and (2) Defendant Mid-Century Insurance Company (“Mid- Century”), on the other hand. Halford and Mid-Century are each a “Party” and, together, are collectively referred to herein as the “Parties.”
