This SHARE EXCHANGE AGREEMENT (this “Agreement”), dated as of November 19, 2016, is by and among NowNews Digital Media Technology Co., Ltd., a Nevada corporation (the “Parent”), Lao Development Holding Limited, a Seychelles company (the “Company”), and the shareholders of the Company (each a “Shareholder” and collectively the “Shareholders”). This SHARE EXCHANGE AGREEMENT (this “Agreement”), dated as of October 4th, 2016, is by and among NowNews Digital Media Technology Co., Ltd., a Nevada corporation (the “Parent”), MySong Industrial Co., Ltd. (我歌实业股份有限公司), a limited liability company formed under the laws of Taiwan (the “Company”), and the shareholders of the Company (each a “Shareholder” and collectively the “Shareholders”). Each of the parties to this Agreement is individually referred to herein as a “Party” and collectively as the “Parties.”
