This Registration Rights Agreement (the “Agreement”) is made and entered into as of this ___ day of April, 2011, by and among Mad Catz Interactive, Inc., a corporation organized under the Canada Business Corporations Act (the “Company”), and the “Investors” named in that certain Securities Purchase Agreement, dated as of April 17, 2011, by and among the Company and the Investors (the “Purchase Agreement”). This Registration Rights Agreement (the “Agreement”) is made and entered into as of this 3rd day of June, 2008, by and among Zila, Inc., a Delaware corporation (the “Company”), Visium Balanced Offshore Fund, Ltd., Visium Balanced Fund, LP, Visium Long Bias Offshore Fund, Ltd. and Visium Long Bias Fund, LP (the “Visium Entities”) and Atlas Master Fund, Ltd. (“Atlas” and, collectively with the Visium Entities, and any Affiliate or permitted transferee of any of them, the “Investors”).
