This California Competes Tax Credit Allocation Agreement (“Agreement”) is by and between Skechers U.S.A., Inc., a Delaware corporation (“Credit Recipient”), Skechers U.S.A., Inc. II, a Delaware corporation, and the California Governor’s Office of Business and Economic Development (“GO-Biz”), hereinafter jointly referred to as the “Parties” or individually as the “Party.” Credit Recipient and Skechers U.S.A., Inc. II hereinafter shall collectively be referred to as “Taxpayer.” All capitalized terms not defined in this Agreement shall have the same meaning as in California Revenue and Taxation Code (“RTC”) sections 17059.2 and 23689, and California Code of Regulations, title 10, section 8000 et seq., as in effect on the Effective Date of this Agreement.
