This Settlement Agreement (“Agreement”) is made and entered into this 21st day of December 2017 (“Execution Date”) by and between NGK Spark Plug Co., Ltd. and NGK Spark Plugs (U.S.A.), Inc. (together, “NGK”) and End-Payor Plaintiff Class Representatives (“End- Payor Plaintiffs”), both individually and on behalf of a class of indirect purchasers of Spark Plugs, Standard Oxygen Sensors, and Air Fuel Ratio Sensors (as more particularly defined in Paragraph 12 below as “Settlement Class”).
