THIS AMENDED AND RESTATED SEVERANCE AGREEMENT (this “Agreement”) is made and entered into this 21st day of October, 2004 by and among Prime Group Realty Trust, a Maryland real estate investment trust (“PGRT”), Prime Group Realty, L.P., a Delaware limited partnership and the operating partnership for PGRT (“Prime”) (Prime and PGRT are hereinafter sometimes collectively referred to as “Employer”), and James F.
