This Agreement is made effective as of , 2019 (the “Effective Date”) between with a principal place of business at (“Company”), and the Massachusetts Institute of Technology, with a principal place of business at 77 Massachusetts Avenue, Cambridge, Massachusetts 02139-4307 (“MIT”), in anticipation of each party disclosing confidential information to the other party for the purpose of evaluating technology licensing opportunities relating to MIT Case No. (the “Purpose”).
