The undersigned (the “Subscriber”) hereby irrevocably subscribes for and offers to purchase units of the Partnership (“Units”) of the class indicated below with a Capital Commitment (defined below) to the Partnership to make capital contributions to the Partnership and hereby agrees to become a party to and be bound by the Limited Partnership Agreement of the Partnership dated as of January 28, 2022, as same may be amended, restated and/or supplemented from time to time (the “Partnership Agreement”), all in accordance with the terms and conditions set out herein, in the Confidential Offering Memorandum of the Partnership dated as of January 28, 2022 (the “Offering Memorandum”) and in the Partnership Agreement.
