IMPORTANT-READ CAREFULLY. This JOOR Membership Agreement, comprised of these Standard Terms and Conditions and the attached Membership Form (collectively, the ”Agreement”), is made by and between JOOR, Inc., a Delaware corporation (“JOOR”), and the party whose name appears in the Membership Form (“MEMBER”), as of the effective date indicated in the Membership Form (the “Effective Date”). JOOR and MEMBER shall each be referred to herein as a “party” and collectively as the “parties.” This Agreement, including any and all schedules and exhibits hereto, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral. Any provisions of these Standard Terms and Conditions that are inconsistent or contradictory with the Membership Form shall be of no force or effect.
