This AMENDED AND RESTATED STOCKHOLDERS’ AGREEMENT (this “Agreement”) dated as of September 28, 2012 by and among the signatories hereto (“Participating Stockholders,” as described in Section 1.14 hereof), NACCO Industries, Inc., a Delaware corporation (the “Corporation”) and the Depository (as described in Section 1.10 hereof). This Agreement amends and restates, in its entirety, the Stockholders’ Agreement dated as of March 15, 1990, as amended, by and among Ameritrust Company National Association, a national banking association, the Corporation and the participating stockholders party thereto.
