Staples, Inc. (“Staples”) hereby agrees to award to the recipient named above (the “Recipient”) the number of shares of Common Stock of Staples (the “Shares”) set forth below in accordance with and subject to the terms, conditions, and restrictions of this Agreement and the Plan (each as defined below).
