AGREEMENT (this “Amendment”) entered into effective as of March 24, 2023 (the “Sixth Amendment Effective Date”) is among COPL America Holding Inc., a Delaware corporation, as the parent (“Parent”), COPL America Inc., a Delaware corporation, as the borrower (the “Borrower”), the other Loan Parties party hereto, the Lenders, and ABC Funding, LLC, as administrative agent (in such capacity, the “Administrative Agent”) and collateral agent (in such capacity, the “Collateral Agent”) for the Lenders.
