This Master Services Agreement (“Agreement”) is entered into as of July 12, 2024 (“Effective Date”), by and between MeetKai, Inc. (“MeetKai”), and RiskOn International, Inc. (“Customer”). For clarity, this Agreement supersedes, in its entirety, the prior Master Services Agreement executed by the parties on February 21, 2024 (and which prior agreement, which pursuant to its terms, never became effective, will terminate simultaneously with the execution of this Agreement), and all prior agreements and understandings between the Executive and the Company, oral or written with respect to its subject matter.
