THIS FIRST AMENDMENT is made and entered into this 9/28/2020 by and,between the CITY OF MENLO PARK, a Municipal Corporation, hereinafter referred to as “CITY,” and OPENGOV, INC., hereinafter referred to as “FIRST PARTY.” 1. Pursuant to Section 25 “Entire Agreement” of Agreement No. 2806, (“Agreement”), Section 1 Scope of Work [is amended] to read as follows: “In consideration of the payment by CITY to FIRST PARTY, as hereinafter provided, FIRST PARTY agrees to perform all the services as set forth in Exhibit A, Exhibit A-1 and Exhibit A-2.” 2. Pursuant to Section 25 “Entire Agreement” of Agreement No. 2806, Section 4 A Compensation and Payment is amended to read as follows: “CITY shall pay FIRST PARTY an all-inclusive fee that shall not exceed $35,000 as described in Exhibit “A-1” of Exhibit "A," Scope of Services. CITY shall also pay FIRST PARTY an all-inclusive fee that shall not exceed $801,54
