Escrow Agreement (this “Agreement”) dated January 8, 2020 among Subversive Real Estate Acquisition REIT LP, a limited partnership established under the laws of Ontario (the “Limited Partnership”), Olympia Trust Company, a trust company incorporated under the Loan and Trust Corporations Act (Alberta) with its registered office in the City of Calgary in the province of Alberta, as the escrow agent (the “Escrow Agent”) and, solely for the purposes of Section 2(e) and Section 16 herein, Canaccord Genuity Corp. and Echelon Wealth Partners Inc. (the “Underwriters”).
