ASSUMPTION AGREEMENT, dated as of April 29, 2005 (this "Assumption Agreement"), made by ORBAN EUROPE GmbH, a German corporation (the "Additional Grantor"), in favor of HARMAN PRO NORTH AMERICA, INC.
