The following terms of sale are incorporated into the Purchase Agreement between Seller and Buyer. All capitalized terms not defined herein shall have the same meanings ascribed to them in the Purchase Agreement, as applicable. The Purchase Agreement and these terms of sale are complementary—what is called for by one is as binding as if called for by the other. If Buyer finds a conflict, error, or discrepancy between the two documents, Buyer will call the same to Seller’s attention in writing. In resolving conflicts, errors, and discrepan- cies, if any, the documents shall be given precedence in the following order: first, these terms of sale; second, the Purchase Agreement.
