This Agreement is made and entered into as of the 15th day of October, 2010 by and between Glen Ridge Surgicenter, LLC (the “Class Representative”) on behalf of itself, individually, and as assignee of Horizon subscribers, and all other Class Members, by and through Class Counsel; Gregory Surgical Services, LLC, (“GSS”), individually, and as assignee of Horizon subscribers, and Horizon Blue Cross Blue Shield of New Jersey, and its affiliates and related companies (collectively, “Horizon”) (all collectively, the “Parties”). The Parties intend that this Agreement resolves, discharges, and settles the Released Claims fully, finally, and forever in accordance with the terms and conditions set forth herein.
