WHEREAS, Merlin Entertainments plc (together with its affiliates, “Merlin”), KIRKBI A/S (together with its affiliates, “KIRKBI”), Blackstone Core Equity Management Associates L.L.C. (together with its affiliates, “Blackstone”), and Canada Pension Plan Investment Board (together with its affiliates, “CPPIB”) (collectively, the “Clients”, individually, the “Client”) are in preliminary discussions regarding a potential transaction involving the acquisition of Merlin by KIRKBI, Blackstone and CPPIB (the “Transaction”). For these purposes: “affiliates” means, in relation to any person or entity, any person or entity (other than excluded affiliates) who or which, directly or indirectly, controls, is controlled by, or is under common control with, such person or entity and, for the avoidance of doubt, includes (without limitation), in relation to Blackstone and CPPIB, any entity formed, controlled or owned by them or funds managed or advised by them for the purposes of the Transaction and, in
