WHEREAS, Brown County, the City of De Pere, the City of Green Bay, the Village of Allouez, the Village of Ashwaubenon, the Village of Bellevue, the Village of Howard and the Village of Suamico, all Wisconsin municipal corporations, (collectively the “Municipalities”), are parties to a Cooperation Agreement dated as of May 18, 1999 and revised by an Addendum in 2012 and an Amendment in 2017 (“Cooperation Agreement”), and are parties to the Restated Pledge and Security Agreement dated as of 2012 and an Amendment dated July 11, 2017, relating to the construction and long term financing, through the pledge of room tax revenues, of a convention center and other tourism facility improvements, as described in the Cooperation Agreement; and
