THIS AGREEMENT is made and entered into this day of November, 2023, by and between the City of Cheney, a governmental agency organized and existing under the laws of the State of Washington (“CoC”), Inland Power and Light (“IPL”) a Washington Non-Profit Cooperative located at 10110 W. Hallett Road, Spokane, Washington, and Avista Corporation (“Avista”) a Washington corporation with its principal offices located at 1411 East Mission, Spokane, Washington, (“Avista”). Coc and IPL each may be referred to as a “Customer,” or collectively as the “Customers.” Customers and Avista each may be referred to as a “Party,” or collectively as the “Parties.”
