Sellers collectively own all of the issued and outstanding shares of capital stock of the Company, and desire to sell to Buyer, and Buyer desires to purchase, on the terms and subject to the conditions set forth in this Agreement, all of such shares except for one of those shares which will be acquired by OMF.
