, 2012 (the “Effective Date”) by and between HID Global Corporation (the “Company”), a Delaware corporation qualified to do business in Texas, with its principal places of business in Irvine, CA, and the City of Austin, a home-rule municipal corporation situated in Hays, Travis and Williamson Counties acting by and through its duly authorized City Manager or his designee (the “City”). The City is authorized by Chapter 380 of the Texas Local Government Code to create programs for the grant of public money to promote state and local economic development and to stimulate local business and commercial activity.
