I, the individual whose name is set forth on the signature page attached to this Agreement, understand that Agrium Inc. (“you” or “Agrium”) and Potash Corporation of Saskatchewan Inc. (the “Corporation”) wish to enter into an arrangement agreement dated as of the date hereof (the “Arrangement Agreement”) contemplating an arrangement (the “Arrangement”) of the Corporation and Agrium pursuant to Section 192 of the Canada Business Corporations Act, which will result in the current common shareholders of the Corporation and Agrium becoming shareholders of a newly-formed parent holding company (“New Parent”) and the Corporation and Agrium becoming wholly owned subsidiaries of New Parent. I am, or one of my affiliates or associates is, the registered or beneficial owner of such number of common shares (the “Holder Shares”) and other rights (together with the Holder Shares, the “Holder Securities”) to acquire common shares in the capital of the Corporation as set forth on the signature page a
