This Indenture shall, at all times, be governed and construed on the basis that it is subject to the applicable provisions of the Trust Indenture Act and, upon the effectiveness of the Exchange Offer Registration Statement (as defined herein) or the Shelf Registration Statement (as defined herein), as the case may be, this Indenture shall, in accordance with the Trust Indenture Act, be subject to, and shall be governed by, applicable provisions of the Trust Indenture Act.
