THIS OPERATING AGREEMENT (together with the Exhibits attached hereto, this “Agreement”) of HIGHWAY 27 HOLDINGS, LLC, a Florida limited liability company (the “Company”), is effective as of the date of closing of the acquisition of the Property (hereinafter defined) (the “Effective Date”), by and among Highway 27 MM, LLC (the “Manager” or “Class A Member”), Polk 27 Capital, LLC (the “Class B Member”), the Class C Member(s) who or which have executed this Agreement on the signature pages hereof (the “Class C Members”), and the Class D Member(s) who or which have executed this Agreement on the signature pages hereof (the “Class D Members”). The Class A Member, the Class B Member, the Class C Members and the Class D Members are sometimes collectively referred to herein as the “Members.”
