THIS AGREEMENT TO INTERCONNECT AND OPERATE NATURAL GAS PIPELINE FACILITIES ("Agreement"), is entered into effective the ___ day of September, 2000, (the "Effective Date") by and between, CHAMBERS ENERGY LIMITED PARTNERSHIP, a Delaware limited partnership, ("Chambers"), and HOUSTON PIPE LINE COMPANY, a Delaware corporation, ("HPL"). (Chambers and HPL are sometimes referred to individually as "Party" and collectively as "Parties").
