Major Chemical carries on the business of producing hand cleansers for the industrial and consumer markets. Georgia Peach, Mitchell Koger, Walter Amstel and Dorothy Vasho are the holders of all outstanding Shares in Major Chemical, which Shares represent the only issued and outstanding Shares of Major Chemical. These parties wish to establish their respective rights and obligations in respect of their shares in Major Chemical in respect of the other matters set out in this Agreement. This Agreement is intended to set forth the restrictions to which any transfer of any or all of the shares of Major Chemical's capital stock now or hereafter outstanding ("Shares") will be subject, the process by which Shares may be disposed of, and the management and governance of Major Chemical.
